Goldman lidera fusiones y adquisiciones por demanda de materias primas de países BRIC

El auge de las fusiones que comenzó en 2010 no se parece a ninguno de los tres anteriores. La serie de adquisiciones de la década de 1980 se vio alimentada por los bonos basura de Michael Milken, mientras que la ola de acuerdos de Internet y telecomunicaciones de fines de los años 90´ se originó en los precios exagerados de las acciones, y los préstamos empujados impulsaron el auge del capital de riesgo que produjo un año récord de acuerdos en 2007.

El aumento más reciente parte de las economías BRIC (Brasil, Rusia, India y China) en expansión. Los acuerdos son cada vez más entre las compañías que proveen materias primas a esos países.

Los acuerdos de energía y productos primarios constituyeron alrededor de la tercera parte del mercado de fusiones y adquisiciones en el mundo en 2010, mientras que fueron aproximadamente un 20% en la década anterior, según datos que recopiló Bloomberg. Las empresas que tienen sede en mercados emergentes participaron en más de un tercio de las adquisiciones en 2010, alrededor del doble de su participación histórica.

Las compras de mercados emergentes contribuyeron a que el valor total de los acuerdos anunciados para 2010 creciera un 27%, a US$2,2 billones, y elevaron las comisiones de asesoramiento. Se trata del primer incremento anual de las comisiones desde 2007. Goldman Sachs ocupó el primer lugar en una clasificación anual de firmas asesoras por las comisiones que cobraron, según la edición de abril de la revista Bloomberg Markets.

La menor volatilidad de los precios de las materias primas contribuye a la concreción de acuerdos, dice Carl Contiguglia, uno de los jefes de banca de inversión en recursos naturales de Morgan Stanley, firma que ocupó el segundo lugar en la lista de comisiones cobradas.

"El segundo semestre de 2010 fue el comienzo de un auge de fusiones y adquisiciones en el sector de recursos naturales", dice Contiguglia. "Estimo que continuará en 2011".

"La demanda se ve impulsada por economías emergentes muy pujantes", dice Cary Kochman, jefe de fusiones y adquisiciones en el continente americano de UBS AG, que tiene sede en Zúrich. "Pasamos con rapidez de una sobreoferta de materias primas a una situación de demanda más ajustada". UBS ocupa el quinto lugar de la clasificación.

Goldman Sachs conservó el primer puesto por séptimo año consecutivo, lo que demuestra que los bancos occidentales con alcance global dominan el nuevo panorama de fusiones.

Los grandes bancos occidentales lideraron el camino hasta en las adquisiciones de compañías con sede en mercados emergentes asiáticos. Goldman Sachs y Morgan Stanley, que tienen sede en Nueva York, y Credit Suisse Group AG de Zúrich tuvieron más acuerdos que competidores locales como China International Capital, indican datos de Bloomberg.

Por primera vez, un banco de un mercado emergente se incorporó a la lista de 20 firmas más importantes. Banco BTG Pactual, el banco de inversión que tiene sede en Río de Janeiro, ocupó el lugar 18.
